All the details.

These terms govern the use of Otomaton’s website and Otomaton’s services: the training centre, the course library and custom course production. By using the website or the services, or by signing an agreement, you accept these terms. Our services are intended for businesses. When a service agreement, an accepted proposal or a purchase order (an “agreement”) has been signed with a client, the agreement prevails over these terms in case of any difference.

1. Definitions
  • “Otomaton” or “we”: Otomaton LLC.
  • “Client”: the company that uses our services.
  • “User”: anyone who accesses the website or the services, including administrators and learners.
  • “Learner”: an employee or other person designated by the client who takes training.
  • “Client content”: the documents, procedures, data, logos and other materials the client provides or uploads.
  • “Custom course”: a course produced by Otomaton from the client content.
  • “Library”: the courses in the Otomaton catalogue.
2. The services

Otomaton provides:

  • an online training centre, in the SMB or Academy edition, in the client’s colours;
  • access to library courses, according to the agreement;
  • production of custom video courses from the client content, in the language requested;
  • delivery of the courses in the Otomaton training centre, in the client’s system or in another agreed format.

The exact scope of the services, timelines and prices are set out in the agreement. We may use service providers to provide the services, and we remain responsible for their work.

3. Accounts and access

The client is responsible for its users’ accounts: it creates them, assigns their permissions and ensures they comply with these terms. Each user keeps their credentials, PIN and access confidential and notifies us without delay of any unauthorized use. We may suspend access that compromises the security of the services or breaches these terms, after notifying the client.

4. Acceptable use

It is prohibited to:

  • use the services for illegal purposes or upload content that is unlawful, defamatory or infringes the rights of others;
  • attempt to gain unauthorized access to the services, other accounts or our systems, or disrupt their operation;
  • copy, resell or redistribute library courses outside the scope of the agreement;
  • circumvent the measures that ensure the integrity of the training and the proof, including the requirement to watch videos in full and the tamper-proof audit log;
  • reverse engineer the services or extract data from them by automated means;
  • use the courses, content or services to train or improve an artificial intelligence model.
5. Client content and intellectual property

The client retains ownership of its content and data. It grants us a non-exclusive licence to use them only as needed to provide the services, including to produce and host its courses. We use the client content solely to produce, review and deliver its courses. We do not use it to train artificial intelligence models offered to third parties. The client represents that it holds the necessary rights to its content and undertakes to remove any personal information that is not needed for the training. The client content is securely destroyed after the course produced is accepted. On request, we confirm this destruction to the client in writing.

Otomaton retains ownership of the platform, software, templates, production methods and library courses. Library courses are licensed for the duration and number of learners set out in the agreement.

Custom courses. Until the production has been paid in full, the course produced remains the property of Otomaton, and we may suspend access to it and its export. Once the production has been paid in full, the client may use and export the course produced for it, for its own training needs, including after the agreement ends. Otomaton retains its rights to the templates, graphic elements and methods used to produce it.

Otomaton may freely use any suggestions a client makes to improve our services.

6. Custom production

Before production, Otomaton submits the course script to the client, who reviews and approves it. The client is responsible for the accuracy of its content and for the course’s conformity with its procedures and equipment. When we write the script, we take into account the rules generally applicable in the client’s jurisdiction and may point out an apparent discrepancy. This work is not legal or regulatory advice and does not replace the client’s own review. Changes requested after the script is approved are billed according to the agreement.

7. Training and the employer’s obligations

Our courses help the client train its employees and keep proof of it. They do not replace the employer’s occupational health and safety obligations: hands-on training and supervision where required (for example, to operate a forklift), site-specific procedures, equipment, oversight and the prevention program. An Otomaton certificate confirms that a learner has taken a course and passed its quizzes; it is not a certification issued by a public body.

8. Prices, billing and taxes

Prices, billing terms and payment terms are those of the agreement. Unless the agreement specifies otherwise: setup fees are payable on signing, credited against the first production order and non-refundable; training centre subscriptions are payable in advance; no refund is given for a subscription period or a production that has started; prices are in Canadian dollars. Amounts unpaid when due may bear interest at the rate set out in the agreement, and we may suspend the services after notice that goes unanswered. Applicable taxes (GST, QST or others) are added to the prices.

9. Term, renewal and termination

The subscription term, its renewal and the termination notice are those of the agreement. Unless the agreement specifies otherwise: the subscription renews automatically for a period of the same length; for an annual subscription, we send a reminder at least 30 days before renewal; the client may cancel its subscription at any time, with cancellation taking effect at the end of the paid period; if a production is stopped, the hours already worked remain payable. Either party may terminate the agreement if the other seriously fails to meet its obligations and does not remedy the failure within 30 days of written notice. When the agreement ends, the client has 90 days to export its training records and data; we then destroy them, unless the law requires otherwise.

10. Availability and support

We make reasonable efforts to keep the services available and working properly, but we do not guarantee uninterrupted availability. Maintenance may be needed; we schedule it outside usual working hours whenever possible. A service level and support may be set out in the agreement. With the client’s authorization, our team may access its account to provide support.

11. Confidentiality

Each party keeps the other party’s non-public information confidential and uses it only to perform the agreement. This obligation continues after the agreement ends.

12. Personal information

We process personal information in accordance with our Privacy Policy. For learners’ information, we act on behalf of the client, according to its instructions. The client is responsible for informing its employees of how their information is used in the training centre; Otomaton can provide a template employee notice. When the client requests a generated voice or an avatar in a person’s likeness, it ensures it first obtains that person’s express consent, using the form provided by Otomaton.

13. Warranties

The services are provided as described in the agreement. Except as provided there, Otomaton gives no other warranty, in particular as to achieving any specific result or as to the client’s regulatory compliance, which remains the client’s responsibility.

14. Limitation of liability

To the extent permitted by law, Otomaton’s total liability to the client for any claim related to the services is limited to the amounts paid by the client in the 12 months preceding the event. Otomaton is not liable for indirect damages, such as lost profits or data that could have been exported. These limits do not apply in the case of intentional or gross fault, or to bodily or moral injury caused to others.

15. Indemnification

The client indemnifies Otomaton against third-party claims related to its content, in particular if it infringes the rights of others or contains personal information communicated without authorization, or related to the absence of consent from a person whose voice or image was used at the client’s request.

16. Third-party links and services

The website and services may contain links to third-party websites or services. Otomaton is not responsible for their content or practices.

17. Changes to these terms

We may change these terms. The current version is published on the website with its date. Clients under an agreement are notified of any significant change at least 30 days in advance. A client who refuses a significant change may cancel its subscription before the change takes effect, at no charge.

18. Governing law and courts

These terms are governed by the laws of Quebec and the federal laws of Canada applicable there, subject to the mandatory laws of the client’s country. Any dispute falls under the jurisdiction of the courts of the judicial district of Montreal, unless otherwise agreed.

19. Language

These terms exist in French and in English. Clients in Quebec first receive the French version; they may then choose to be bound by the English version if they expressly request it. In case of any difference between the versions, the French version prevails for clients in Quebec.

20. General provisions

If any provision is found invalid, the others remain in force. Failure to exercise a right is not a waiver. Neither party is liable for delays caused by force majeure. The client may not assign the agreement without our written consent; Otomaton may assign it to an affiliate or to the acquirer of its business. Sections 5, 11, 14, 15 and 18 survive the end of the agreement. Notices are sent by email, to the account administrator’s address for the client, and to info@otomaton.com for Otomaton.
